1 Introduction and scope of application

1.1 Company

All About W.Y.N. FZCO is a company registered in IFZA Business Park, DDP, Dubai, United Arab Emirates, offering professional consultancy and services in the field of company formation, emigration to Dubai, tax consultancy, real estate and related services.

1.2 Scope of application

These General Terms and Conditions ("GTC" or "Terms") govern the business relationship between All About W.Y.N. FZCO ("Contractor", "we", "us" or "our") and the customer ("Client", "you", "Customer" or "your"). They apply to all services agreed via our website www.dubai-auswandern.de, personal consultation or other communication channels.

1.3 Conclusion of contract

A contract is concluded by the signing of a service contract, the confirmation of a digital offer or by implied behaviour (in particular payment). These GTC shall be deemed to have been agreed upon conclusion of the contract.

1.4 Deviating conditions

Deviating or supplementary terms and conditions of the customer shall not become part of the contract unless we have expressly agreed to their validity in writing.

2. services

2.1 Scope of services

We provide the following main services:

  • Consultancy and support for company formation in Dubai (Freezone and Mainland)
  • Procurement of residence permits and Emirates ID
  • Tax advice and residence exit counselling
  • Property services and brokerage
  • Bank account opening service
  • Accounting and administrative services
  • Translation and notarisation services
  • Other administrative support in connection with emigration to Dubai

2.2 Provision of services

The exact scope of the services to be provided is set out in the respective service contract or offer. We are entitled to use qualified third parties (subcontractors, authorities, partners) to fulfil our obligations.

2.3 Changes to the services

We reserve the right to change or expand our services and offers, provided this is reasonable for the customer and there are legitimate interests.

3. obligations of the customer to co-operate

3.1 Provision of documents

The customer undertakes to provide all documents, information and evidence required for the provision of services in full, truthfully and in good time. This includes in particular

  • Copies of passports and identity documents
  • Desired company name and business activity
  • Proof of address and references
  • Financial evidence and bank details
  • All other documents requested by us

3.2 Participation and availability

The client must be personally available for necessary appointments in Dubai and co-operate with official procedures. In the event of delays due to lack of co-operation or late provision of documents, we are entitled to compensation for additional costs and time incurred.

3.3 Change notifications

The customer is obliged to inform us immediately of any relevant changes in his personal or business circumstances.

4 Prices and terms of payment

4.1 Prices

The prices stated in the "Service Offers" are exclusive of taxes and must be paid in the currency stated. All payments must be made within 30 days of signing the contract.

4.2 Commencement of benefits

The provision of services shall only commence once payment has been received in full and all necessary documents and information have been provided.

4.3 Payment methods

Third parties (e.g. PayPal or other payment platforms) may be integrated for the payment methods. We assume no responsibility for such third-party services, including their content or data processing methods.

4.4 Order of payment

When payments are made, the costs (if any) are paid first, then the interest rates (if any) and finally the principal claim. If several invoices are outstanding, the oldest invoice is paid first.

4.5 Collection of payments

All About W.Y.N. FZCO reserves the right to collect payments via third-party providers (e.g. PayPal or Stripe) if payments are outstanding.

4.6 Additional costs

The customer is obliged to bear all transaction fees, bank charges, exchange rate differences and other costs in connection with the payment. Once payment has been completed, the customer is entitled to the services ordered. If the customer does not accept the specified payment method (e.g. bank transfer), they must bear all additional costs incurred for alternative payment methods.

4.7 Price adjustments

All About W.Y.N. FZCO reserves the right to adjust prices if external costs such as licence fees, official fees, registration fees or visa fees increase. In such cases, the price adjustment will be passed on proportionally.

4.8 Default of payment

All About W.Y.N. FZCO is authorised to suspend services if the customer is in arrears with payments. If payment is not made within seven (7) calendar days, All About W.Y.N. FZCO reserves the right to adjust prices based on exchange rate changes.

4.9 Invoice

The customer receives an invoice (payment confirmation) in digital form, which is sent by e-mail or via other digital channels.

4.10 Collection

All About W.Y.N. FZCO is authorised to charge judicial and extrajudicial costs for the collection of outstanding payments, including third-party fees, to the customer.

4.11 Right of retention

In the event of late payment, All About W.Y.N. FZCO has the right to suspend services immediately and to withhold documents and information until payment has been made.

5 Contract term and cancellation

5.1 Minimum contract term

Unless otherwise agreed, the minimum term of a service contract is twenty-four (24) months from the signing of the contract. This applies to all services, including one-off services such as company formation and ongoing services such as bookkeeping. The contract is automatically extended by a further twelve (12) months if it is not cancelled in writing or by e-mail at least 90 days before expiry.

5.2 Cancellation

Notice of cancellation must be given in writing and sent to the other party by e-mail or registered letter.

6. refunds and cancellations

6.1 Principle

As these are B2B services, amounts already paid are generally non-refundable.

6.2 Exceptions

Refunds are only possible in the following very limited cases:

  • Impossibility of performance for reasons for which we are solely responsible

7 Liability and limitation of liability

7.1 Scope of liability

Our liability is limited to intent and gross negligence. Liability for indirect damages, lost profits or consequential damages is excluded.

7.2 Maximum liability limit

Liability shall in any case be limited to the amount of the remuneration agreed for the order in question.

7.3 Third-party services

We accept no liability for the services of third parties (authorities, banks, other service providers). We are only obliged to select and coordinate carefully.

7.4 Loss minimisation

The customer is obliged to take all reasonable measures to minimise the damage.


8 Confidentiality and data protection

8.1 Confidentiality

Both parties undertake to maintain confidentiality regarding all information that becomes known in the course of the business relationship. This obligation shall survive the termination of the contract.

8.2 Data protection

We process personal data in accordance with the applicable data protection regulations of the UAE and the EU GDPR (where applicable). Details can be found in our privacy policy.

8.3 References

We are authorised to name the customer as a reference with the customer's consent.

9 Special provisions

9.1 No guarantee of success

We do not guarantee the success of official procedures (visa approvals, licences, etc.), as these are beyond our control.

9.2 Amendments to the law

In the event of changes to the legal framework in the UAE or other relevant jurisdictions, we reserve the right to adjust services and prices.

9.3 Force majeure

In the event of force majeure (natural disasters, pandemics, government measures, etc.), our performance obligations shall be suspended. Any costs already incurred shall be borne by the customer.

10 Applicable law and place of jurisdiction

10.1 Applicable law

The law of the United Arab Emirates shall apply to all contracts and these GTC.

10.2 Place of jurisdiction

The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC and the service contracts is Dubai, United Arab Emirates.

10.3 Partial invalidity

Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.

11. final provisions

11.1 Changes

Amendments to these GTC must be made in writing. Verbal collateral agreements do not exist.

11.2 Transfer of contract

The contract cannot be transferred by the customer to third parties.

11.3 Language

These GTC are written in German. In the case of translations into other languages, the German version shall prevail in case of doubt.
